1. Acceptance of Terms
These Terms and Conditions ("Terms") govern access to and use of the Baseball Squares website, application, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
2. Private, Invite-Only Service
The Service is intended to support private, invite-only baseball squares leagues and season-based board administration.
The Service is not open for unrestricted public participation. Access may be limited, suspended, or revoked at any time, with or without notice, in the sole discretion of the Service operator.
3. Eligibility
You may use the Service only if:
- you are at least 18 years old;
- you have been invited or otherwise authorized to access the relevant season or league;
- your use of the Service is lawful where you are located; and
- you are not using the Service for any prohibited or unlawful purpose.
You are solely responsible for determining whether your use of the Service is lawful in your jurisdiction.
4. No Gambling, Betting, Lottery, or Wagering Service
The Service is intended as a private league-management and score-tracking tool.
The Service does not:
- process payments for entry fees, wagers, or bets;
- operate, sponsor, or administer any gambling, wagering, sportsbook, casino, lottery, or sweepstakes program;
- hold user funds, custodial balances, or cash-equivalent credits;
- guarantee the legality of any league, pool, contest, promotion, prize structure, or side arrangement created or used by any user; or
- represent that use of the Service makes any activity lawful under local, state, federal, or international law.
Any references in the Service to "tokens," "pots," "entries," "winnings," or similar terms are for internal league-tracking, bookkeeping, or display purposes only unless expressly stated otherwise by the Service operator in writing.
Users may not use the Service to facilitate, promote, conduct, or advertise unlawful gambling, illegal lotteries, unlawful sweepstakes, or any other activity that violates applicable law.
If you choose to use the Service in connection with any private league, pool, contest, prize, or transfer of value, you do so at your own risk and remain solely responsible for legal compliance.
5. No Purchase or Payment Through the Service
The Service does not itself sell entries, collect buy-ins, redeem tokens, pay prizes, or process cashouts.
Any offline or third-party arrangement between users, commissioners, league administrators, or participants is outside the Service and is not controlled, verified, monitored, endorsed, or guaranteed by the Service operator.
6. Commissioner and User Responsibility
If you create, manage, or operate a season, board, or league through the Service, you are solely responsible for:
- your league rules;
- your invitations and participant management;
- any approvals or participant decisions you make;
- any offline collections, reimbursements, or prize distributions;
- your compliance with gaming, advertising, prize-promotion, tax, consumer-protection, and privacy laws; and
- resolving any dispute among participants.
The Service operator is not a party to disputes between commissioners and participants.
7. MLB Data, Trademarks, and Intellectual Property
The Service may reference MLB teams, schedules, scores, names, abbreviations, marks, or other baseball-related information for informational, descriptive, or nominative purposes.
Major League Baseball, MLB, club names, nicknames, logos, uniform designs, color combinations, and related marks are owned by their respective owners. The Service claims no ownership in any MLB or club trademark, logo, team identity, league mark, or other third-party intellectual property.
No use of MLB-related names, schedules, or team references through the Service implies sponsorship, endorsement, affiliation, approval, or association with Major League Baseball, its clubs, MLB Advanced Media, L.P., MLB Properties, Inc., or any related entity.
If you believe content on the Service infringes your rights, contact the Service operator and include sufficient detail for review.
8. User Content and Data You Submit
You retain responsibility for any content, information, names, labels, or data you submit to the Service.
You represent that you have the rights necessary to submit such content and that your content does not violate any law or third-party rights.
You grant the Service operator a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process your submitted content as needed to operate, maintain, and improve the Service.
9. Accounts and Security
You are responsible for maintaining the confidentiality of your login links, credentials, devices, and account access.
You must notify the Service operator promptly if you believe your account has been accessed without authorization.
10. Prohibited Conduct
You may not:
- use the Service for unlawful gambling or prize-promotion activity;
- impersonate any person or misrepresent your affiliation;
- interfere with the Service, servers, APIs, or security features;
- attempt unauthorized access to accounts, seasons, or data;
- scrape, reverse engineer, or exploit the Service except as permitted by law;
- submit malicious code, spam, or abusive content; or
- use the Service in a way that exposes the Service operator to legal or regulatory risk.
11. Service Availability and Changes
The Service may change, be suspended, or be discontinued at any time, in whole or in part, without notice.
The Service operator may add, remove, or modify features, restrictions, league controls, integrations, and access policies at any time.
12. Scores, Schedules, and Third-Party Data
The Service may depend on third-party data sources, including baseball schedules, game states, and score feeds.
The Service operator does not guarantee that third-party data will be complete, accurate, timely, uninterrupted, or error-free.
Users remain responsible for independent verification of any score, status, schedule, or outcome that matters to them.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE OPERATOR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
The Service operator does not warrant:
- that any season, board, or result will be lawful;
- that any board, token count, or payout record is suitable for legal, financial, or tax reliance;
- that any participant will honor any offline arrangement; or
- that the Service is appropriate for any regulated activity.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE OPERATOR AND ITS OWNERS, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE SERVICE OPERATOR FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID DIRECTLY TO THE SERVICE OPERATOR FOR USE OF THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless the Service operator and its owners, affiliates, contractors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use of the Service;
- your league, season, contest, or prize arrangement;
- your violation of these Terms;
- your violation of any law or regulation; or
- your infringement or violation of any third-party right.
16. Termination
The Service operator may suspend or terminate your access at any time, with or without notice, for any reason, including suspected unlawful conduct or violation of these Terms.
Upon termination, your right to use the Service ends immediately.
17. Privacy
Your use of the Service is also subject to the Privacy Policy.
18. Changes to These Terms
The Service operator may update these Terms from time to time. Updated Terms will become effective when posted unless a later date is stated.
Your continued use of the Service after updated Terms are posted constitutes acceptance of the updated Terms.
19. Governing Law and Venue
These Terms will be governed by the laws of the applicable state and the United States, without regard to conflict-of-law rules, except to the extent superseded by mandatory law.
Any dispute arising out of or relating to the Service or these Terms shall be brought exclusively in the state or federal courts designated by the Service operator, and you consent to personal jurisdiction and venue in those courts.
